Disclaimer, Terms of Use, and Refund Policy for the UMATTR AI Business Package.
Important Notice: Please read these terms carefully before purchasing, downloading, accessing, copying, or using the Package. By completing the purchase, accepting these terms at checkout, downloading, accessing, or using the Package, you acknowledge that you have read, understood, and agreed to these terms.

1. Definitions
Understanding the terms used throughout this document.
"Package" means the UMATTR AI Business Package and all accompanying documents, checklists, graphics, templates, guides, information cards, updates, and related digital materials supplied with it.
"Purchaser" means the individual completing the purchase and, where the Package is purchased for or on behalf of a company, partnership, organization, institution, employer, client, or other entity, that entity.
"User" means any individual or organization that purchases, downloads, accesses, receives, reviews, copies, shares internally, or uses the Package.
"UMATTR" means UMATTR and its directors, officers, employees, contractors, representatives, affiliates, successors, and permitted assigns.
"AI system" includes generative artificial intelligence, machine-learning systems, automated decision tools, AI agents, chatbots, application programming interfaces, plugins, integrations, and other AI-enabled products or services.
2. Intended Business and Professional Use
The Package is designed and sold primarily for business, commercial, organizational, educational, and professional use.
By purchasing the Package, the Purchaser represents that the Package is being obtained primarily for one or more of these purposes.
If an individual purchases or uses the Package on behalf of an organization, that individual represents that they have the authority to accept these terms on behalf of that organization.
Nothing in these terms excludes, restricts, or waives any right, remedy, warranty, or protection that cannot legally be excluded, restricted, or waived under applicable law.
3. Educational and Informational Purposes Only
The Package is provided for general educational and informational purposes only.
It is intended to help businesses identify and think about potential considerations associated with AI use, including cost management, system access, human supervision, business suitability, output verification, and related organizational risks.
The Package does not constitute and should not be treated as:
- legal advice;
- financial, investment, tax, or accounting advice;
- cybersecurity or information-security advice;
- privacy, data-protection, or regulatory-compliance advice;
- employment, labour-relations, or human-resources advice;
- insurance or risk-management advice;
- medical, health, engineering, or safety advice;
- technical implementation instructions;
- an AI audit, security assessment, privacy assessment, or compliance review; or
- advice tailored to the User's specific business, systems, industry, contracts, jurisdiction, or circumstances.
Users should obtain appropriate advice from qualified professionals before making legal, financial, technical, cybersecurity, privacy, employment, regulatory, or other significant business decisions.
4. No Consulting or Professional Relationship
Purchasing, downloading, accessing, reviewing, or using the Package does not create any advisory or professional relationship.
Specifically, this does not create:
- a consultant-client relationship;
- a professional-advisor relationship;
- a lawyer-client relationship;
- a fiduciary relationship;
- an employment relationship;
- an agency relationship;
- a partnership or joint venture; or
- any continuing obligation by UMATTR to advise, supervise, monitor, update, or assist the User.
Consulting services are not included with the purchase of the Package. Any consulting, implementation, customization, assessment, training, or professional services must be purchased separately and will be governed by a separate written agreement.
5. No Guarantee of Accuracy, Completeness or Results
AI technologies, vendor terms, product capabilities, pricing, security practices, privacy requirements, laws, regulations, professional standards, and industry practices may change over time.
Although UMATTR may make reasonable efforts to provide useful and accurate information, UMATTR does not represent or warrant that the Package is:
- complete;
- accurate;
- current;
- error-free;
- suitable for every business;
- appropriate for every industry or jurisdiction;
- sufficient to meet any legal or regulatory requirement;
- compatible with any particular AI product or system; or
- capable of producing any specific financial, operational, legal, security, compliance, productivity, or commercial result.
The Package may not identify every risk, requirement, control, cost, vulnerability, or consideration relevant to a particular organization.
No statement in the Package should be interpreted as a promise, guarantee, assurance, or warranty of a particular outcome.
6. Package Provided 'As Is'
To the maximum extent permitted by applicable law, the Package is provided on an 'as is' and 'as available' basis.
UMATTR disclaims all representations, conditions, guarantees, and warranties, whether express, implied, statutory, or collateral, including any implied warranties or conditions of accuracy, completeness, quality, fitness for a particular purpose, merchantability or merchantable quality, reliability, availability, non-infringement, compatibility, security, and results.
Nothing in this section excludes a warranty, condition, right, or remedy that cannot legally be excluded.
7. User Responsibility
The User remains solely responsible for determining whether and how to apply any information contained in the Package.
Before relying on or applying the Package, the User is responsible for:
- assessing whether the information is appropriate for the User's organization;
- conducting independent due diligence;
- verifying any material information;
- consulting qualified professionals where appropriate;
- reviewing applicable laws, regulations, contracts, policies, and industry standards;
- evaluating the risks associated with each proposed AI use;
- testing AI systems before operational deployment;
- maintaining appropriate human supervision;
- controlling access to sensitive systems and data;
- establishing approval and escalation procedures;
- monitoring AI-related expenses and activity;
- reviewing AI-generated outputs before use;
- training employees and contractors appropriately; and
- documenting important decisions and approvals.
The User is responsible for all decisions, actions, omissions, implementations, communications, purchases, integrations, and outcomes arising from the User's use of the Package.
8. Assumption of Risk
The User acknowledges that AI adoption and implementation may involve significant and unpredictable risks.
These risks may include, but are not limited to:
- inaccurate, incomplete, misleading, biased, or outdated outputs;
- hallucinated information or fabricated sources;
- unauthorized system or data access;
- privacy breaches;
- security incidents;
- data loss, corruption, or disclosure;
- intellectual-property infringement;
- financial loss;
- excessive usage or subscription costs;
- operational disruption;
- regulatory or contractual violations;
- employment-related consequences;
- reputational harm;
- customer complaints;
- business interruption;
- reliance on unavailable or discontinued third-party services; and
- actions taken by AI systems without sufficient human approval.
The User voluntarily assumes the risks associated with purchasing, accessing, interpreting, relying on, or applying information from the Package.
9. Human Supervision
The Package should not be interpreted as recommending that AI systems operate without appropriate human supervision.
Users should independently determine which AI-assisted actions require human review, authorization, escalation, or final approval.
AI-generated content should not be relied upon as the sole basis for significant legal, financial, employment, privacy, safety, security, or customer-impacting decisions.
The User is responsible for assigning qualified individuals to supervise AI use and for ensuring that those individuals have sufficient authority, knowledge, and resources to perform that responsibility.
10. Privacy, Confidentiality and Sensitive Information
The User is responsible for protecting confidential, proprietary, personal, regulated, privileged, and commercially sensitive information.
The Package does not authorize or recommend entering sensitive information into an AI system without first completing an appropriate privacy, security, contractual, and compliance assessment.
Users should not provide an AI system with confidential, personal, proprietary, regulated, or privileged information unless the User has:
- lawful authority to use and disclose the information;
- reviewed the AI provider's terms and privacy practices;
- assessed how the provider stores, processes, retains, and uses the information;
- confirmed that appropriate safeguards are in place;
- limited access to the minimum information required; and
- obtained any necessary consent or authorization.
UMATTR is not responsible for information entered into, disclosed to, processed by, or retained by any AI system or third-party provider.
11. High-Risk and Sensitive Decisions
The Package should not be used as the sole basis for developing or deploying AI systems that make or materially influence critical decisions.
This includes decisions concerning:
- hiring, termination, promotion, compensation, or employee discipline;
- credit, lending, insurance, or financial eligibility;
- legal rights or legal obligations;
- health or medical treatment;
- physical safety;
- access to housing, education, employment, or essential services;
- criminal justice or law enforcement;
- significant financial transactions; or
- any decision that may materially affect an individual's rights, livelihood, health, safety, or well-being.
Users should obtain qualified professional advice and implement enhanced testing, documentation, supervision, and review before using AI in high-risk settings.
12. Third-Party Products and Services
The Package may refer generally or specifically to AI systems, software, vendors, websites, APIs, applications, services, or other third-party resources.
Any reference to a third-party product or service is provided for informational purposes only and does not necessarily constitute an endorsement, certification, partnership, guarantee, or recommendation.
UMATTR does not control and is not responsible for:
- third-party availability;
- pricing or subscription changes;
- security practices;
- privacy practices;
- data retention;
- terms of service;
- licensing restrictions;
- output quality;
- performance;
- outages;
- errors;
- product discontinuation;
- vendor conduct; or
- losses caused by third-party products or integrations.
The User is responsible for independently evaluating all third-party products and services.
13. Limited Licence
Subject to payment and compliance with these terms, UMATTR grants the Purchaser a limited, revocable, non-exclusive, non-transferable, and non-sublicensable licence to use the Package for the Purchaser's internal business or professional purposes.
Unless a separate written licence states otherwise, the Purchaser may:
- download and store reasonable copies of the Package;
- print copies for internal use;
- share the Package internally with the Purchaser's employees and individual contractors who require access for the Purchaser's business; and
- use the Package for internal education, planning, discussion, and risk awareness.
All persons receiving the Package through the Purchaser must comply with these terms.
14. Prohibited Uses
The Purchaser and User must not violate the terms of this limited licence.
Without UMATTR's prior written permission, you must not:
- sell, resell, sublicense, rent, lease, or commercially distribute the Package;
- post or upload the Package publicly;
- share the Package outside the purchasing organization;
- distribute the Package to clients as the User's own product;
- include the Package in another paid product, service, course, or membership;
- remove or obscure UMATTR branding, copyright notices, or attribution;
- reproduce substantial portions of the Package in another publication;
- modify and redistribute the Package;
- claim authorship or ownership of the Package;
- use the Package to create a competing product; or
- use the Package unlawfully or in violation of third-party rights.
No ownership or intellectual-property rights are transferred to the Purchaser. All rights not expressly granted are reserved by UMATTR.
15. Intellectual Property
The Package, including its text, design, layout, branding, graphics, organization, selection, and presentation, is owned by or licensed to UMATTR and is protected by copyright, trademark, and other laws.
The UMATTR name, logo, branding, and related identifiers may not be used without prior written permission.
Permitted internal use of the Package does not give the User any right to register, claim, challenge, or acquire ownership of UMATTR intellectual property.
16. Thirty-Day Refund Policy
UMATTR offers a voluntary 30-day money-back guarantee for the Package.
A Purchaser may request a refund within 30 calendar days of the original purchase date by emailing team@umattr.ca.
The request should include:
- the Purchaser's name;
- the email address used for the purchase;
- the order number or other available purchase information; and
- a brief explanation of why the Package did not meet the Purchaser's expectations.
The explanation is requested for product-improvement purposes and does not require the Purchaser to prove that the Package was ineffective. Approved refunds will ordinarily be returned to the original payment method.
Effect of a Refund: When a refund is issued:
- the Purchaser's licence to access and use the Package immediately terminates;
- the Purchaser must stop using the Package;
- the Purchaser must delete all downloaded or stored electronic copies under the Purchaser's control;
- the Purchaser must destroy printed copies where reasonably possible; and
- the Purchaser must stop sharing or distributing the Package internally.
Limitations on the Voluntary Refund Guarantee: The guarantee is limited to one refund per Purchaser or organization. UMATTR may deny a voluntary refund request where UMATTR reasonably determines that the request is made after 30 days, violates license terms, is fraudulent, or is a duplicate.
17. Limitation of Liability
To the maximum extent permitted by applicable law, UMATTR will not be liable for any indirect, incidental, consequential, special, exemplary, aggravated, or punitive damages.
This includes damages arising from the purchase, access, use, misuse, or inability to use the Package; reliance on information; implementation of systems; decisions made by the User; security or data incidents; and operational disruptions.
This exclusion includes lost profits, lost revenue, lost business, loss of goodwill, lost savings, loss or corruption of data, and business interruption, regardless of whether the claim is based on contract, negligence, tort, or any other legal theory.
18. Liability Cap
To the maximum extent permitted by applicable law, if UMATTR is found liable for any claim that cannot be excluded under these terms, UMATTR's total cumulative liability is strictly capped.
Specifically, UMATTR's total cumulative liability arising from or relating to the Package, its purchase, or its use will not exceed the amount actually paid by the Purchaser to UMATTR for the Package.
The existence of multiple claims, events, losses, or parties will not increase this limit.
19. Indemnification
The Purchaser agrees to indemnify and hold UMATTR harmless from third-party claims, liabilities, losses, costs, and expenses.
This applies to claims arising from unauthorized distribution, resale, reproduction, breach of these terms, unlawfulness, or unauthorized representations made by the Purchaser to other parties.
20. Termination
UMATTR may terminate the User's licence to use the Package if conditions are violated.
This includes if the Purchaser receives a refund, materially breaches these terms, distributes/sells the package without authorization, or infringes intellectual property.
Upon termination, the User must stop using the Package and delete or destroy all copies under the User's control.
21. Updates and Revisions
UMATTR may revise the Package or these terms from time to time.
UMATTR has no obligation to update the Package, notify previous Purchasers of every change, correct every error, or provide updated versions without charge.
22. Governing Law and Jurisdiction
These terms are governed by the laws of the Province of Alberta and the applicable federal laws of Canada, without regard to conflict-of-law principles.
Subject to mandatory local rules, the courts located in Alberta will have exclusive jurisdiction over any dispute arising from or relating to the Package, its purchase, or its use.
23. Mandatory Rights
Nothing in these terms excludes, restricts, or waives rights that cannot legally be excluded.
Where a provision conflicts with a mandatory legal requirement, the mandatory legal requirement will apply only to the extent of the conflict.
24. Severability
If any provision of these terms is found to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable.
If it cannot be modified, it will be severed, and the remaining provisions will continue in full force.
25. No Waiver
A failure or delay by UMATTR in enforcing any provision of these terms does not waive UMATTR's right to enforce that provision later.
A waiver is effective only if made in writing by an authorized representative of UMATTR.
26. Assignment
The Purchaser may not assign, transfer, sublicense, or delegate its rights or obligations under these terms without UMATTR's prior written consent.
UMATTR may assign these terms as part of a corporate reorganization, sale, transfer, merger, or asset disposition.
27. Entire Agreement
These terms constitute the entire agreement between the Purchaser and UMATTR concerning the Package.
They replace prior discussions, statements, understandings, or representations, except for those that cannot legally be excluded.

29. Acknowledgement and Acceptance
By purchasing, downloading, accessing, or using the Package, you acknowledge and agree to these terms.
- You have read and understood these terms;
- You have had an opportunity to seek independent professional or legal advice;
- You understand that the Package is educational and informational only;
- You understand that consulting services are not included;
- You accept responsibility for deciding whether and how to apply the information;
- You understand that AI use involves risks;
- You accept the licence restrictions;
- You understand the 30-day refund policy; and
- You agree to be bound by these terms.
